1. Definitions
In these Terms of Service ("Terms"):
"Company," "we," "us," or "our" refers to Modio LLC, an Oregon limited liability company.
"Service" or "Your Radar" refers to the web application and related services provided at radardash.com.
"User," "you," or "your" refers to any individual or entity that accesses or uses the Service.
"Account" refers to your registered user account on the Service.
"Account Data" refers to information you provide to create and maintain your account, such as your email address and password.
"Business Data" refers to revenue information, venture details, cash payment records, and other business-related data you store or access through the Service.
"Integration" refers to a connection between the Service and a third-party platform (e.g., Stripe, Square, YouTube, Ticket Tailor).
"Content" refers to all data, text, information, and materials submitted to or generated through the Service.
2. Acceptance of Terms
By creating an account, accessing, or using Your Radar, you agree to be bound by these Terms, our Privacy Policy, and any additional terms that may apply to specific features of the Service.
If you do not agree to these Terms, you must not use the Service.
We may update these Terms from time to time. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.
3. Eligibility
To use the Service, you must:
Be at least 18 years of age or the age of legal majority in your jurisdiction
Have the legal capacity to enter into a binding agreement
Not be prohibited from using the Service under applicable laws
If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
4. Account Registration and Security
4.1 Account Creation
To access the Service, you must create an account by providing a valid email address and creating a password. You agree to:
Provide accurate, current, and complete information
Verify your email address when requested
Keep your account information up to date
4.2 Password Requirements
Your password must be at least 8 characters long and contain at least one letter and one number.
4.3 Account Security
You are responsible for:
Maintaining the confidentiality of your password
All activities that occur under your account
Notifying us immediately at adrian@modio.tv if you suspect unauthorized access
We are not liable for any loss or damage arising from unauthorized use of your account.
5. Service Description
Your Radar is a revenue tracking dashboard that allows you to:
Connect to third-party payment and analytics platforms (Stripe, Square, YouTube, Ticket Tailor)
View aggregated revenue data from multiple sources in one dashboard
Track and manage business ventures and projects
Record cash payments and offline transactions
View historical revenue snapshots and trends
The Service is provided "as is" and we make no guarantees about the accuracy, completeness, or timeliness of data retrieved from third-party platforms.
6. Subscriptions and Payments
6.1 Subscription Plans
The Service is currently offered as a free service. Paid subscription plans may be introduced in the future, at which time this section will be updated and you will be notified.
6.2 Future Paid Plans
When paid plans are introduced:
Payments will be processed by Stripe, and by subscribing you will agree to Stripe's Terms of Service
Paid subscriptions will be billed in advance on a monthly or annual basis
All fees will be exclusive of applicable taxes, which will be added where required
Subscriptions will automatically renew unless canceled before the renewal date
6.3 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation:
You will retain access to paid features until the end of your current billing period
Your account will revert to the free tier after the billing period ends
6.4 Refunds
If you cancel a paid subscription, you are entitled to a pro-rated refund for the unused portion of your current billing period. Refunds will be processed to your original payment method within 5-10 business days. To request a refund, contact us at adrian@modio.tv.
7. Acceptable Use Policy
You agree not to:
Use the Service for any illegal purpose or in violation of any applicable laws
Attempt to gain unauthorized access to the Service, other accounts, or computer systems
Interfere with or disrupt the Service or servers connected to the Service
Use automated tools, bots, or scrapers to access the Service without permission
Circumvent rate limiting or other technical restrictions
Share your account credentials with others or allow others to access your account
Use the Service to store or transmit malicious code
Impersonate any person or entity or misrepresent your affiliation
Use the Service to send spam or unsolicited communications
Reverse engineer, decompile, or disassemble any part of the Service
We reserve the right to investigate and take appropriate action against anyone who violates this policy, including removing Content, suspending or terminating accounts, and reporting violations to law enforcement.
8. Third-Party Integrations
8.1 Connecting Integrations
The Service allows you to connect to third-party platforms including:
Stripe - Payment processing and subscription data
Square - Point-of-sale and payment data
YouTube - Channel analytics and revenue data (requires OAuth authorization)
Ticket Tailor - Event ticketing and sales data
8.2 Your Responsibility
When connecting integrations, you:
Authorize us to access data from these platforms on your behalf
Agree to comply with each platform's terms of service
Are responsible for keeping your API credentials secure
Acknowledge that we store your credentials in encrypted form
8.3 Third-Party Terms
Your use of third-party platforms is governed by their respective terms:
We are not responsible for the accuracy, completeness, or availability of data from third-party platforms. Data may be delayed, incomplete, or unavailable due to factors outside our control.
9. User Content and Data
9.1 Ownership
You retain ownership of all Business Data you submit to or store in the Service. This includes your venture information, cash payment records, notes, and any other content you create.
9.2 License to Us
By using the Service, you grant us a limited, non-exclusive license to:
Host, store, and display your Content to provide the Service
Process your Content as necessary to operate the Service
Create aggregated, anonymized statistics about Service usage (which will not identify you)
This license terminates when you delete your account or Content.
9.3 Your Responsibilities
You are solely responsible for:
The accuracy and legality of your Content
Ensuring you have the right to store and use any data you submit
Maintaining your own backups of important data
9.4 Data Deletion
You may delete your account at any time through your account settings. When you delete your account, all associated data (Account Data, Business Data, and integration credentials) will be permanently deleted.
10. Intellectual Property
10.1 Our Intellectual Property
The Service, including its design, features, code, and documentation, is owned by Modio LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without permission.
10.2 Feedback
If you provide suggestions, feedback, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.
10.3 Trademarks
"Your Radar" and associated logos are trademarks of Modio LLC. You may not use our trademarks without prior written permission.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:
Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties that the Service will be uninterrupted, error-free, or secure
Warranties regarding the accuracy or reliability of data from third-party integrations
We do not provide financial, tax, or legal advice. The Service is for informational purposes only, and you should consult qualified professionals for financial decisions.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODIO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
Loss of profits, revenue, data, or business opportunities
Cost of substitute services
Damages arising from third-party platform outages or data inaccuracies
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Modio LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Your Content or Business Data
14. Termination
14.1 Termination by You
You may terminate your account at any time by using the account deletion feature in your account settings or by contacting us at adrian@modio.tv.
14.2 Termination by Us
We may suspend or terminate your account at any time if:
You violate these Terms or our Acceptable Use Policy
Your use poses a security risk to the Service or other users
We are required to do so by law
We discontinue the Service (with reasonable notice)
14.3 Effect of Termination
Upon termination:
Your right to access the Service immediately ceases
All data associated with your account will be deleted
Sections of these Terms that by their nature should survive termination will survive (including Disclaimers, Limitation of Liability, Indemnification, and General Provisions)
15. Governing Law and Disputes
15.1 Governing Law
These Terms are governed by the laws of the State of Oregon, USA, without regard to conflict of law principles.
15.2 Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall be resolved as follows:
Informal Resolution: Before filing any claim, you agree to contact us at adrian@modio.tv and attempt to resolve the dispute informally for at least 30 days.
Jurisdiction: If informal resolution fails, you agree that any legal action shall be brought exclusively in the state or federal courts located in Oregon, and you consent to the personal jurisdiction of such courts.
15.3 Class Action Waiver
To the extent permitted by law, you agree that any disputes will be resolved on an individual basis and you waive any right to participate in a class action lawsuit or class-wide arbitration.
16. Changes to Terms
We may modify these Terms at any time. If we make material changes, we will:
Update the "Last updated" date at the top of these Terms
Notify you by email at least 30 days before the changes take effect
Provide a summary of the key changes
Your continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and delete your account.

18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy, Service Level Agreement, and Data Processing Agreement (where applicable), constitute the entire agreement between you and Modio LLC regarding the Service.
18.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
18.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
18.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
18.5 Notices
We may provide notices to you via email to the address associated with your account. You are responsible for keeping your email address current.
18.6 Force Majeure
We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
